Welcome to Bax Box!

This Digital Product Licence Agreement explains the terms under which customers may download, install and use software products purchased from Bax Box.

Bax Box is operated by Alexander Bax, a UK sole trader trading as Bax Box.

By purchasing or downloading a Bax Box application, you agree to the licence terms presented to you before purchase.

Nothing in this agreement excludes or restricts your statutory rights under applicable UK law.

3. Grant of Licence

When you purchase a Bax Box digital application, you receive a limited, non-exclusive, non-transferable licence to use that application, subject to this agreement and any product-specific terms.

Unless otherwise stated on the product page, this licence permits:

This licence does not transfer ownership of the software or its underlying intellectual property.

Any product-specific restrictions, including limits on devices or users, will be disclosed before purchase.

4. Permitted Uses

Customers may use Bax Box applications for lawful personal, educational, organisational or internal business activities, where supported by the product.

Examples may include:

Customers may use the results and information they create with an application for their own lawful purposes, subject to any clearly disclosed third-party rights.

5. Prohibited Uses

Unless Bax Box expressly authorises otherwise, customers must not:

These restrictions do not prevent activities expressly permitted by applicable law, including mandatory rights relating to software backup, lawful use or interoperability.

6. Intellectual Property Ownership

Bax Box applications may contain software, artwork, code and other materials owned by third-party developers or rights holders.

Bax Box distributes applications under applicable commercial agreements or licences.

All intellectual property rights remain with their respective owners.

Purchasing a digital application grants usage rights only, as described in this agreement and any applicable product-specific licence.

No ownership of source code, trademarks, graphics or other protected materials is transferred unless expressly stated.

7. Offline Use

Bax Box specialises in downloadable mini web applications designed for offline use.

Once downloaded, an application may generally be used without a continuous internet connection, subject to its stated features and technical requirements.

Some products may have additional requirements, which will be disclosed on the relevant product page.

Customers should retain a secure copy of their purchased files.

Bax Box does not guarantee that every application will remain compatible with all future operating systems, browsers or devices.

Any specific compatibility or support commitments made at the time of purchase remain applicable.

8. Compatibility and Technical Requirements

Customers should review the product description before purchasing.

Product listings will identify relevant information such as:

Where a product is faulty, misdescribed or fails to meet applicable statutory requirements, customers retain their legal remedies.

9. Updates and Maintenance

Bax Box may release software updates, bug fixes or improvements.

Unless otherwise stated, a purchase does not automatically include indefinite feature upgrades, new versions or personalised technical support.

Where updates are contractually promised or required by applicable law, Bax Box will meet those obligations.

Any optional paid upgrades will be clearly identified before purchase.

10. Customer-Created Data

Some Bax Box applications may allow customers to create plans, lists, schedules or other information.

Customers retain their rights in the original content and information they create.

Where an application stores information locally on the customer’s device, customers are responsible for maintaining appropriate backups, subject to applicable consumer rights and any product-specific commitments.

Bax Box does not claim ownership of customers’ original content merely because it was created using a purchased application.

11. Sharing and Redistribution

Purchasing an application does not grant permission to distribute copies to other people.

Customers may not sell, sublicense or publicly share purchased software unless the applicable product licence expressly allows it.

Customers wishing to obtain broader distribution rights should contact Bax Box.

Nothing in this section restricts rights that cannot lawfully be excluded.

12. Commercial Use

Unless a product listing states otherwise, Bax Box applications may be used for the customer’s own internal commercial activities.

For example, a business customer may use a planning application to organise business tasks or an event dashboard to manage an event.

This permission does not include reselling the software itself, distributing copies to clients or offering the application as a hosted software service.

Any broader commercial licence must be expressly authorised.

13. Licence Duration and Termination

Unless otherwise stated, the licence is granted for ongoing use of the purchased version of the application.

The licence may be terminated following a material breach of its terms, subject to applicable law and any required notice or opportunity to remedy the breach.

Termination does not remove statutory rights or remedies.

Where a licence is lawfully terminated, the customer must cease any use that is no longer authorised.

14. Refunds and Consumer Rights

This agreement operates alongside the Bax Box Refund and Cancellation Policy.

Customers retain their statutory rights under the Consumer Rights Act 2015 and other applicable legislation.

If digital content is faulty, not as described or otherwise fails to meet statutory requirements, customers may be entitled to appropriate remedies.

Nothing in this agreement excludes or restricts those rights.

15. Liability

Nothing in this agreement excludes or limits liability where doing so would be unlawful.

This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Nothing in this agreement limits statutory consumer rights.

Any limitation of liability applicable to business customers must comply with relevant law and the terms agreed with those customers.

16. Changes to This Agreement

Bax Box may update this agreement for future purchases to reflect changes in products, services or applicable law.

Updated terms will be published on the Bax Box website.

Changes will not retrospectively remove rights already granted under an existing purchase contract.

17. Governing Law

This agreement is governed by the applicable laws of England and Wales.

Consumers residing elsewhere in the United Kingdom retain any mandatory legal protections applicable to them.

Nothing in this agreement removes any right to bring proceedings before a court with jurisdiction under applicable law.
